Terms of Service and Subscription and Data Licence Agreement

These Terms of Service and Subscription & Data Licence Agreement (Terms) govern access to and use of Veritrace.

Please read these Terms carefully before purchasing, accessing or using Veritrace.

By creating an account, purchasing a subscription, accepting an Order Form, clicking an acceptance checkbox, accessing the Services or otherwise agreeing to these Terms, you agree to be legally bound by them.

1Contracting party

These Terms form a legally binding agreement between:

The Bettr App Pte. Ltd., a company registered in Singapore with its registered office at 160 Robinson Road #14-04, Singapore Business Federation Center, Singapore 068914 (Company, we, us or our)

and

the individual, company or other legal entity purchasing, accessing or using Veritrace (Customer, you or your).

1.1 Veritrace

Veritrace and Veritrace Data are products and/or trading brands operated by The Bettr App Pte. Ltd.

Veritrace is not a separate legal entity.

Any reference in these Terms to Veritrace providing, owning, licensing, restricting or operating something means The Bettr App Pte. Ltd. and/or its applicable licensors.

1.2 Business customers

Veritrace is primarily intended as a business-to-business service.

If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation.

2Definitions

In these Terms:

  • Account means the Customer's Veritrace account.
  • Authorised User means an individual authorised under the Customer's Subscription to access the Services.
  • Customer Data means information supplied to Veritrace by or on behalf of the Customer, excluding Veritrace Data.
  • Initial Term means the initial committed Subscription Term specified in the Order Form or, where none is specified, 12 months.
  • Order Form means any proposal, quotation, order, checkout page, subscription confirmation or other document specifying the Customer's commercial Subscription details.
  • Renewal Term means a subsequent Subscription Term following the Initial Term.
  • Services means the Veritrace platform and associated products and services.
  • Subscription means the Customer's purchased right to access specified Services during a Subscription Term.
  • Subscription Fees means fees payable for the Subscription.
  • Subscription Start Date means the date specified in the Order Form or, if none is specified, the date on which the Subscription becomes active.
  • Subscription Term means the Initial Term or applicable Renewal Term.
  • Veritrace Data means information, datasets, records, outputs and intelligence made available through Veritrace.

3The Veritrace service

Veritrace is a construction, property, project and business intelligence platform.

Depending upon the Customer's Subscription, the Services may include:

  • construction project intelligence
  • development and planning information
  • project values and estimates
  • project stages and statuses
  • project participants, builders, developers, contractors, subcontractors, consultants, architects, engineers and suppliers
  • trade information
  • company information
  • business contact information
  • project contact information
  • search and filtering
  • alerts, watchlists, reports, dashboards and analytics
  • CSV and other exports
  • APIs and integrations
  • artificial intelligence features
  • data enrichment
  • historical information
  • other related functionality

Features available to a Customer depend upon its Subscription.

4Subscription

4.1 Minimum term

Unless an Order Form expressly states otherwise, each paid Veritrace Subscription has a minimum 12-month Initial Term.

The Customer is purchasing access for the entire Initial Term.

4.2 Monthly billing

Where monthly billing is selected, monthly payments are instalments of the Subscription Fees payable for the committed Subscription Term.

Monthly billing does not create a month-to-month contract.

The fact that the Customer is charged monthly does not give the Customer a right to cancel the remaining committed Subscription Term each month.

4.3 Annual billing

Where annual billing is selected, Subscription Fees are payable in advance for the applicable Subscription Term.

Any annual-payment discount applies only in accordance with the applicable Order Form or applicable pricing presented to the Customer at the time of purchase.

4.4 Subscription scope

The Subscription may be restricted according to:

  • plan
  • country
  • state or territory
  • geographic coverage
  • data category
  • product or module
  • number of Authorised Users
  • API entitlement
  • export entitlement
  • data volume
  • functionality
  • other limits identified in the Order Form or applicable subscription confirmation

The Customer receives only the rights expressly included in its Subscription.

4.5 Region-specific pricing

Subscription Fees, plans, features, discounts, taxes, billing currencies and commercial terms may vary depending on the Customer's country, region, location, business type, selected products, Subscription scope or other applicable factors.

The applicable Subscription Fees are the fees displayed, quoted or otherwise agreed for the Customer at the time of purchase or renewal.

Nothing in these Terms requires the Company to offer the same pricing, currency, discounts or commercial terms in different countries or regions.

5Automatic renewal

5.1 Renewal

Subject to applicable law, the Subscription automatically renews at the end of the Initial Term for successive 12-month Renewal Terms unless either party gives valid notice of non-renewal at least 30 days before the end of the current Subscription Term.

5.2 Renewal notice

Veritrace will use reasonable efforts to provide the Customer with advance electronic notice of an upcoming renewal and the applicable renewal terms.

The Customer remains responsible for maintaining current contact and billing information.

5.3 Renewal pricing

The Subscription will renew at the applicable renewal price communicated, displayed or otherwise agreed for the Customer.

Renewal pricing may vary by country, region, currency, plan, Subscription scope, applicable taxes, product changes, additional services and other commercial factors.

Unless an Order Form or subscription confirmation expressly states otherwise, the Company is not required to apply the same pricing that applied during the previous Subscription Term.

Any price change will be subject to applicable law and any notice requirements that apply to the Customer or transaction.

5.4 Non-renewal

A Customer may give notice that it does not wish to renew.

Valid non-renewal takes effect at the conclusion of the current Subscription Term.

It does not retrospectively cancel the existing committed Subscription Term.

5.5 No renewal trap intended

The Initial Term, renewal mechanism, cancellation requirements and applicable renewal terms are intended to be clearly disclosed when the Customer subscribes or renews.

Nothing in these Terms limits any right the Customer has under applicable law.

6Pricing and price changes

6.1 Applicable pricing

The Customer must pay the Subscription Fees and other charges displayed, quoted or agreed for the Customer in the applicable:

  • Order Form
  • proposal
  • quotation
  • checkout page
  • subscription confirmation
  • invoice
  • renewal notice
  • other written commercial communication

6.2 No universal pricing

Veritrace may offer different pricing to different Customers, countries, regions, markets, industries, plans or Subscription scopes.

Pricing may be provided in different currencies and may be subject to different taxes, discounts, minimum commitments, payment schedules and commercial conditions.

The Company is not required to publish a universal price list or disclose pricing applicable to other Customers or markets.

6.3 Renewal price changes

The Company may change Subscription Fees for a Renewal Term by providing the Customer with reasonable advance notice of the applicable renewal price, subject to applicable law.

A Customer that does not wish to accept the renewal price may provide valid notice of non-renewal in accordance with these Terms.

6.4 Additional products

The Company and Customer may separately agree to additional:

  • users
  • territories, states or countries
  • products or modules
  • data
  • API capacity
  • services

for additional fees.

7Payment

The Customer must pay all Subscription Fees and other agreed charges when due.

Unless stated otherwise, fees are exclusive of applicable taxes.

The Customer is responsible for applicable GST, VAT, sales taxes, use taxes, sales and use taxes, withholding taxes or similar transaction taxes required by law.

The applicable currency, payment schedule and payment method will be specified in the applicable Order Form, checkout page, subscription confirmation or invoice.

8Recurring payment authority

Where the Customer provides a payment method, the Customer authorises The Bettr App Pte. Ltd. and its authorised payment processors, including Stripe where applicable, to charge that payment method for:

  • Subscription Fees
  • recurring instalments
  • Renewal Term fees
  • applicable renewal pricing
  • agreed additional users or services
  • applicable taxes
  • other amounts expressly agreed or properly payable under the Subscription

The Customer must maintain valid billing details throughout the Subscription Term.

9Failed and overdue payments

If an amount is overdue, Veritrace may, subject to applicable law:

  • retry the payment method
  • contact the Customer
  • issue reminders
  • suspend Services
  • restrict exports
  • restrict API access
  • restrict access to data
  • refer legitimately outstanding amounts for collection
  • recover reasonable external debt-recovery costs where legally permitted

Suspension for non-payment does not itself terminate the Customer's existing payment obligations.

10Cancellation

10.1 During a committed term

Except where these Terms or applicable law provide otherwise, cancelling during an Initial Term or Renewal Term does not cancel payment obligations properly arising under that committed term.

10.2 Cancellation request

Unless the Customer has a legal or contractual right to earlier termination, a cancellation request operates as notice of non-renewal at the conclusion of the current Subscription Term.

10.3 Change of circumstances

Subject to applicable law, the Customer is not entitled to terminate the committed term or obtain a refund merely because:

  • it no longer requires Veritrace
  • it stops using Veritrace
  • an employee leaves
  • its sales team changes
  • its business closes a division
  • its strategy changes
  • it does not contact available opportunities
  • it does not win work
  • a particular project does not proceed
  • it does not achieve its expected return on investment
  • it finds another service

Nothing in this section overrides rights that cannot lawfully be excluded.

11Refunds

Except where required by applicable law or expressly provided under these Terms, Subscription Fees are non-refundable once properly payable.

No refund or credit is ordinarily provided for:

  • unused subscription time
  • unused accounts
  • unused exports
  • unused API allowance
  • change of mind
  • failure to use available functionality
  • failure to achieve a desired business result

12Licence

Subject to payment of applicable fees and compliance with these Terms, the Company grants the Customer during the Subscription Term a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services and permitted Veritrace Data for the Customer's legitimate internal business purposes.

No ownership of Veritrace, its software or its proprietary database rights is transferred to the Customer.

13Authorised Users

Only Authorised Users covered by the Subscription may access Veritrace.

Unless expressly permitted, login credentials may not be shared.

The Customer must not:

  • share accounts between unauthorised users
  • circumvent seat restrictions
  • provide access to unrelated entities
  • sell access
  • sublicense access
  • allow customers or third parties to access its account
  • use one subscription as a substitute for multiple required licences

The Customer is responsible for use of its Account by its Authorised Users.

14Intellectual property

As between the Customer and the Company, The Bettr App Pte. Ltd. and its licensors retain all applicable rights, title and interest in Veritrace and proprietary elements of the Services, including:

  • software, source code and object code
  • interfaces and designs
  • databases and database structures
  • proprietary datasets
  • compilation and arrangement
  • enrichment, classifications and taxonomies
  • methodologies, algorithms and scoring systems
  • reports and analytics
  • APIs and documentation
  • trademarks and branding
  • other intellectual property

Third-party source material remains subject to the rights of the applicable rights holder.

No intellectual property rights are transferred except for the limited licence expressly granted under these Terms.

15Data licence

Veritrace Data is licensed for permitted business use and is not sold to the Customer as an unrestricted database.

Permitted use may include, subject to the Subscription:

  • identifying opportunities
  • market research
  • prospecting
  • business development
  • tender research
  • internal analysis
  • CRM use
  • sales planning
  • other legitimate internal business activities

Use must remain consistent with these Terms and applicable law.

16Prohibited use

Unless expressly authorised in writing, the Customer must not:

  • scrape Veritrace
  • crawl or spider Veritrace
  • systematically harvest data
  • use automation to circumvent platform restrictions
  • systematically download the database
  • reconstruct all or a substantial part of the Veritrace database
  • resell Veritrace Data
  • sublicense Veritrace Data
  • commercially redistribute Veritrace Data
  • publish substantial Veritrace datasets publicly
  • operate a data bureau using Veritrace Data
  • provide Veritrace Data as a competing subscription service
  • create a competing construction intelligence database using substantial Veritrace proprietary data
  • reverse engineer the platform except where a right to do so cannot lawfully be excluded
  • circumvent security controls, API restrictions, export limits or user limits
  • interfere with the platform
  • introduce malicious code
  • access another customer's account without authority
  • remove proprietary notices
  • misrepresent Veritrace's proprietary compilation as the Customer's own database
  • use the Services for unlawful activity
  • assist another person to do any of the above

17Competing products

The Customer may use Veritrace in the ordinary course of its business.

However, the Customer may not use substantial quantities of Veritrace's proprietary database, enrichment, structure or outputs primarily to create or operate a product whose purpose is to substitute for or commercially compete with Veritrace.

Nothing in this section prevents legitimate competition based on independently obtained information.

18Artificial intelligence

Unless expressly authorised in writing, the Customer must not use substantial quantities of Veritrace's proprietary datasets or proprietary database structure to:

  • train a competing commercial AI model
  • build a competing construction intelligence product
  • create a competing commercial database
  • reproduce Veritrace's proprietary enrichment at scale
  • create a substitute for the Services

Ordinary internal use of permitted outputs with productivity or AI tools is permitted where otherwise lawful and consistent with these Terms.

19API

API access is permitted only where included in the Subscription.

API credentials must be protected.

API usage is subject to applicable:

  • rate limits
  • record limits
  • request limits
  • export limits
  • caching rules
  • security requirements
  • technical documentation
  • data licence restrictions

Veritrace may apply reasonable technical measures necessary to protect platform security, availability and licensed data.

20Exports

Permitted CSV, spreadsheet, CRM, API or other exports remain subject to these Terms.

Exporting information does not transfer ownership of Veritrace's proprietary database or grant an unrestricted redistribution right.

The Customer may use permitted exports for legitimate internal business activities.

21Data sources

Veritrace may collect, compile, generate, infer, transform, verify, enrich and aggregate information from multiple lawful sources.

These may include:

  • publicly available sources
  • government information
  • planning information
  • development information
  • regulatory records
  • corporate information
  • industry information
  • proprietary research
  • third-party data providers
  • automated research systems
  • customer-contributed information where permitted
  • other lawful sources

Sources and methodologies may change over time.

22Data accuracy

Construction and development information changes frequently.

Projects may be:

  • proposed
  • delayed
  • redesigned
  • repriced
  • transferred
  • re-tendered
  • cancelled
  • abandoned
  • commenced
  • completed
  • otherwise changed

Companies, contacts, contractors, consultants, project values, timelines and project participants may change.

Veritrace uses commercially reasonable processes appropriate to the nature of the Services but does not warrant that every record will at all times be complete, error-free or current.

The Customer should independently verify information before making material commercial, financial, legal, safety or contractual decisions.

23Project values

Any project value, construction value, contract value, development value or other monetary estimate displayed through Veritrace may be based upon reported information, available records, estimation, modelling or other sources.

Such figures should be treated as business intelligence rather than guaranteed final contract values.

24Contact information

Contact and company information may change without notice.

The presence of contact information within Veritrace does not guarantee that:

  • the person remains employed by the organisation
  • the person's responsibilities remain unchanged
  • the person wishes to receive marketing
  • the information remains current
  • contacting that person is lawful in every jurisdiction or circumstance

The Customer is responsible for determining whether its intended communication is lawful.

25Customer's direct marketing responsibility

The Customer is solely responsible for its marketing, prospecting and communications activities.

The Customer must comply with all applicable privacy, electronic communications, telemarketing, direct marketing and data protection laws in the jurisdictions where it operates or contacts individuals.

Where Australian law applies, this includes compliance with applicable requirements under:

  • the Spam Act 2003 (Cth)
  • the Privacy Act 1988 (Cth)
  • the Australian Privacy Principles
  • the Do Not Call Register Act 2006 (Cth)
  • applicable telemarketing standards and regulations

Where United States law applies, this may include applicable federal and state requirements concerning commercial email, text messaging, telephone solicitation, consumer privacy and do-not-call restrictions.

The availability of information through Veritrace does not constitute a representation that every form of communication using that information is permitted.

26No guarantee of results

Veritrace provides business intelligence.

The Company does not guarantee:

  • leads
  • enquiries
  • appointments
  • responses
  • tender invitations
  • tender success
  • contracts
  • projects
  • sales
  • revenue
  • profit
  • market share
  • return on investment
  • project commencement
  • any particular commercial outcome

The Customer remains responsible for its sales process, pricing, communications, tendering and commercial decisions.

27No professional advice

Veritrace Data is provided as business and market intelligence.

It is not:

  • legal advice
  • financial advice
  • investment advice
  • accounting advice
  • engineering advice
  • architectural advice
  • planning advice
  • safety advice
  • credit advice
  • another regulated professional service

Customers should obtain appropriate professional advice where necessary.

28Customer responsibilities

The Customer must:

  • provide accurate registration information
  • maintain secure credentials
  • ensure Authorised Users comply with these Terms
  • use reasonable cybersecurity practices
  • promptly notify Veritrace of suspected unauthorised access
  • comply with applicable laws
  • independently verify material information where appropriate
  • use the Services responsibly

29Acceptable use

The Customer must not use Veritrace:

  • unlawfully
  • fraudulently
  • deceptively
  • to harass people
  • to impersonate others
  • to facilitate malicious cyber activity
  • to infringe intellectual property rights
  • in violation of applicable privacy or marketing laws
  • in a manner reasonably likely to damage the Services

30Service development

Veritrace is an evolving technology product.

The Company may improve, update, replace or modify:

  • functionality
  • user interfaces
  • workflows
  • data sources
  • classifications
  • algorithms
  • AI systems
  • integrations
  • APIs
  • features

The Company will not intentionally remove the essential benefit of a paid Subscription during a committed Subscription Term without providing any remedy required under applicable law.

31Beta and experimental features

Veritrace may offer beta, preview, experimental or early-access functionality.

Such functionality may be changed or discontinued and may be less reliable than generally available features.

Where practicable, Veritrace will identify material beta or experimental functionality as such.

32Third-party services

Veritrace may integrate with or depend upon third-party systems.

Third-party services may include cloud hosting, payment processors, mapping, communications, analytics, artificial intelligence or external data providers.

The Company is not responsible for independent third-party outages or changes outside its reasonable control.

Third-party products may have separate terms.

33Service availability

Veritrace aims to provide reliable access but does not promise uninterrupted availability.

Access may be affected by:

  • maintenance
  • upgrades
  • security incidents
  • internet failures
  • hosting-provider failures
  • telecommunications failures
  • third-party outages
  • emergency maintenance
  • circumstances beyond the Company's reasonable control

34Security

The Company will use security measures reasonably appropriate to the nature of the Services.

No internet-connected system can guarantee absolute security.

Customers must take reasonable steps to secure their Accounts.

35Suspension

The Company may suspend all or part of an Account where reasonably necessary because of:

  • overdue payment
  • material breach
  • suspected fraud
  • credential compromise
  • material security risk
  • unlawful activity
  • prohibited scraping
  • systematic unauthorised extraction
  • material abuse of API or platform resources
  • threats to the Services or other customers
  • a legal or regulatory requirement

Where appropriate, Veritrace will provide notice and an opportunity to remedy the issue.

Immediate suspension may occur where reasonably necessary to prevent fraud, unlawful conduct, security compromise or serious data misuse.

36Termination for breach

Either party may terminate for a material breach by the other party where:

  • written notice of the breach is provided
  • where the breach is capable of remedy, the breaching party fails to remedy it within a reasonable period stated in the notice

The Company may terminate immediately where reasonably justified by serious:

  • fraud
  • deliberate unlawful activity
  • deliberate security compromise
  • systematic unauthorised extraction
  • intentional commercial redistribution of proprietary Veritrace Data
  • other irremediable material misconduct

Termination does not extinguish rights or liabilities accrued before termination.

37Effect of termination

When a Subscription expires or terminates:

  • access may be disabled
  • API credentials may be revoked
  • future platform access ends
  • ongoing rights dependent upon an active Subscription cease
  • provisions intended by their nature to survive continue

Permitted records legitimately incorporated into the Customer's own CRM during the Subscription may continue to be used for the Customer's internal business purposes, subject to applicable law.

The Customer may not use retained data to reconstruct or operate a competing Veritrace-style database.

38Confidentiality

Each party must protect the other party's confidential information using reasonable care.

Confidential information does not include information that:

  • is lawfully public
  • was already lawfully known without restriction
  • is independently developed
  • is lawfully obtained from another source
  • must be disclosed by law

39Customer Data

The Customer retains ownership of Customer Data.

The Customer grants the Company the rights reasonably necessary to host, process, transmit, back up and otherwise use Customer Data for the purpose of:

  • providing the Services
  • securing the Services
  • supporting the Customer
  • maintaining the Services
  • complying with law
  • improving the Services using aggregated or de-identified information where permitted by law

40Privacy

Each party must comply with privacy laws applicable to its handling of personal information.

The Company's handling of personal information is also governed by the Veritrace Privacy Policy.

41Feedback

If a Customer voluntarily provides ideas, recommendations or feedback concerning Veritrace, the Company may use that feedback to develop or improve its products without payment.

This does not transfer ownership of the Customer's confidential information.

42Warranties and statutory rights

Nothing in these Terms excludes, restricts or modifies any right, guarantee, condition, warranty, remedy or liability that cannot legally be excluded, restricted or modified.

To the extent permitted by law, all other implied warranties and conditions are excluded.

43Limitation of liability

To the maximum extent permitted by applicable law:

43.1 Excluded loss

Neither party will be liable to the other for indirect, incidental, special or consequential loss arising from the Services.

Subject to applicable law, the Company will not be liable for loss of anticipated profits, revenue, opportunity, contracts, tenders, goodwill or business to the extent such loss is indirect or consequential.

43.2 Liability cap

To the maximum extent permitted by law, the Company's aggregate liability arising out of or relating to a Customer's Subscription during any 12-month period is limited to the Subscription Fees actually paid or payable by that Customer for the affected Services during that 12-month period.

43.3 Mandatory liability

Nothing in this section limits liability where doing so is prohibited by law.

44Customer indemnity

To the extent permitted by law, the Customer indemnifies the Company against third-party claims, losses and reasonable external costs to the extent caused by:

  • the Customer's unlawful use of the Services
  • material breach of the data licence
  • unauthorised commercial redistribution of Veritrace Data
  • unlawful marketing conducted by the Customer
  • infringement caused by material supplied by the Customer
  • fraud
  • wilful misconduct

by the Customer or its Authorised Users.

The indemnity is reduced to the extent the Company caused or contributed to the relevant loss.

45Force majeure

Neither party is liable for delay or failure to perform an obligation, other than payment obligations already due, to the extent caused by circumstances beyond its reasonable control.

46Electronic communications

The Customer agrees that operational and contractual communications may be provided electronically.

These may include:

  • invoices
  • payment notices
  • security notices
  • renewal notices
  • service notices
  • account notices
  • contractual notices

The Customer must maintain a current email address.

47Marketing communications from Veritrace

Where required by applicable law, marketing communications will be sent based upon appropriate consent or another lawful basis.

Operational communications concerning the Customer's Subscription are not treated as optional marketing merely because they are sent electronically.

Customers may unsubscribe from marketing communications using the mechanism provided, but may continue to receive necessary service, security, billing and contractual communications.

48Assignment

The Customer must not assign the Subscription in a manner that transfers licensed access or proprietary Veritrace Data to an unrelated third party without the Company's prior written consent, which will not be unreasonably withheld where the proposed assignee assumes the Customer's obligations.

The Company may assign these Terms as part of a bona fide:

  • corporate restructure
  • merger
  • acquisition
  • financing
  • sale of the Veritrace business
  • sale of substantially all relevant assets

provided the assignment does not materially reduce the Customer's contractual rights.

49Changes to these Terms

The Company may update these Terms prospectively.

A material adverse change will not apply during an existing committed Subscription Term merely because updated Terms are posted online unless:

  • required by law
  • necessary to address an urgent security or regulatory issue
  • agreed by the Customer
  • otherwise permitted by applicable law

Updated Terms may apply to a subsequent Renewal Term following reasonable notice.

50Notices

Notices may be sent to the email address associated with the Customer's Account or another nominated address.

The Customer is responsible for keeping its contact details current.

Formal notices to the Company may be sent using the contact method published on the Veritrace website or otherwise specified by the Company.

51Entire agreement

These Terms together with the applicable Order Form constitute the entire agreement concerning the Subscription.

Customer-specific terms expressly stated in a signed Order Form take precedence over inconsistent general provisions in these Terms.

52Severability

If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary where legally possible.

If it cannot be read down, it will be severed and the remainder of these Terms will continue.

53No waiver

A party's failure or delay in exercising a contractual right does not waive that right.

54Relationship

Nothing in these Terms creates a partnership, employment relationship, joint venture, fiduciary relationship or agency between the Customer and the Company.

55Third-party rights

Except where expressly stated, a person who is not a party to these Terms has no contractual right to enforce them, subject to any mandatory applicable law.

56Governing law and jurisdiction

Unless an applicable Order Form expressly provides otherwise, these Terms are governed by the laws of Singapore.

The parties submit to the jurisdiction of the courts of Singapore.

However, nothing in this section excludes or restricts the operation of mandatory laws applicable to a Customer or transaction that cannot lawfully be excluded by choosing Singapore law.

57Dispute resolution

Before commencing non-urgent court proceedings, a party must provide written notice describing the dispute.

The parties must then use reasonable efforts to resolve the dispute through good-faith discussions between appropriately senior representatives.

This requirement does not prevent:

  • urgent injunctive relief
  • protection of intellectual property
  • action concerning serious data misuse
  • action concerning security
  • legitimate debt recovery
  • exercise of statutory rights

58Order Forms

An Order Form may specify:

  • Customer legal name
  • Company/registration number
  • Billing address
  • Primary contact
  • Subscription plan
  • Jurisdiction/state/country coverage
  • Number of Authorised Users
  • API access
  • Subscription Start Date
  • Initial Term
  • Billing frequency
  • Currency
  • Subscription Fee
  • Renewal pricing or pricing method
  • Additional services
  • Special conditions

Unless expressly changed in the Order Form: Initial Term 12 months; Renewal Term 12 months.

The applicable Subscription Fees, currency, renewal pricing and commercial terms will be those displayed, quoted or agreed for the Customer in the applicable Order Form, checkout page, subscription confirmation, invoice or renewal notice.

59Electronic acceptance

The Customer may accept these Terms electronically.

Acceptance may occur by:

  • electronically signing an Order Form
  • accepting a proposal
  • completing checkout
  • checking an acceptance box
  • creating a paid Subscription where these Terms are presented as applying to the purchase
  • another electronic method clearly indicating agreement

60Important subscription acknowledgement

Before purchasing, the Customer should understand that:

  1. 1.Veritrace is a product of The Bettr App Pte. Ltd.
  2. 2.Unless expressly stated otherwise, the Subscription has a 12-month minimum Initial Term.
  3. 3.If billed monthly, monthly payments are instalments against that 12-month commitment and do not create a month-to-month contract.
  4. 4.The Subscription automatically renews for successive 12-month Renewal Terms unless valid notice of non-renewal is given at least 30 days before renewal, subject to applicable law.
  5. 5.Subscription Fees, plans, currencies, discounts and renewal terms may vary by country, region, Customer, Subscription scope and other commercial factors.
  6. 6.The applicable Subscription Fees and renewal terms are those displayed, quoted or agreed for the Customer at the time of purchase or renewal.
  7. 7.Veritrace provides business intelligence and does not guarantee leads, tenders, projects, contracts, sales or revenue.
  8. 8.Veritrace Data is licensed and remains subject to the restrictions in these Terms.
  9. 9.The Customer is responsible for ensuring that its marketing and use of contact information complies with applicable law.

By purchasing the Subscription, the Customer confirms that it has read and accepted these Terms.
